Mutual Non-Disclosure Agreement

between Inhaber Alexander Martens and the requesting company (hereinafter "Recipient")

§1 Subject of Agreement
This agreement governs the protection of confidential information exchanged between the parties in the context of due diligence reviews, product demonstrations and business discussions.

§2 Confidential Information
Confidential information includes all technical, commercial, regulatory and organisational documents, in particular: source code, architecture diagrams, security concepts, audit reports, customer lists, business strategies, implementation methodologies and all documents made available in the Assurance Room.

§3 Recipient's Obligations
The Recipient undertakes to use confidential information solely for the purpose of evaluating the Resilience Platform, not to disclose it to third parties and to take appropriate security measures. Access shall be limited to employees with a legitimate interest.

§4 Exceptions
Confidentiality does not apply to information that is demonstrably already in the public domain, was lawfully in the Recipient's possession prior to disclosure, was obtained from third parties without confidentiality obligations, or must be disclosed pursuant to legal requirements.

§5 Duration
This agreement shall be valid for a period of 36 months from signing. The confidentiality obligation for individual information expires 5 years after its disclosure, unless subject to statutory confidentiality obligations.

§6 Liability
In the event of a culpable breach of the confidentiality obligation, the Recipient shall be liable for the damage incurred, limited to the demonstrably incurred damage. Further liability is excluded unless intent or gross negligence is present.

§7 Final Provisions
The laws of the Federal Republic of Germany shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction shall be, to the extent permitted by law, the registered office of the disclosing party. Amendments must be made in writing. Should a provision be invalid, the remainder of the agreement shall remain in effect.
